SALES REPRESENTATIVE AGREEMENT REPRESENTATIVE AGREEMENT This agreement made this: * By and between: * The “Company” And: * The “Sales Representative” Sales Representative Agrees to: 1. Represent and sell the Company’s products/services in the geographical area know as the United States of America. 2. Accurately and state Company policies to all potential and present customers. 3. Promptly report all sales and leads to the Company. 4. Inform the sales manager of all problems concerning Company customers within the sales territory. 5. Inform the sales manager if the Sales Representative is representing, or plans to represent any other business firm. In no event shall sales representative represent a competitive company or product line either within or outside the designated sales area. 6. Attend sales meetings to report and discuss sales activity within the territory. 7. Provide 15 days’ notice should the Representative intend to terminate this Agreement. 8. Return promptly all materials and samples provided by the Representative to the Company if either party terminates this agreement. 9. Agree to make the following minimum number of calls per month, and close the following minimum number for deals per month. Month 1 – 120 Calls – 4 Deals Closed Month 2 – 130 Calls – 5 Deals Closed Month 3 – 140 Calls – 6 Deals Closed Month 4 – 150 Calls – 7 Deals Closed Month 5 – 160 Calls – 8 Deals Closed Month 6 – 170 Calls – 9 Deals Closed Month 7 – 180 Calls – 10 Deals Closed Month 8 – 190 Calls – 11 Deals Closed Month 9 – 200 Calls – 12 Deals Closed Month 10 – 210 Calls – 13 Deals Closed Month 11 – 220 Calls – 14 Deals Closed Month 12 – 230 Calls – 15 Deals Closed The Company Agrees to: Pay the following 1099 commissions to the Sales Representative: COMMISSION FOR CLOSED DEALS (@ FULL PRICE): $225 + 100% of first month subscription revenue RETAINER FOR CLOSED DEALS (@ FULL PRICE): 5% of monthly subscription revenue for each month that Sales Representative meets prior month’s sales requirement. INCENTIVE RETAINER FOR CONSECUTIVE CLOSED DEALS: Additional 1% of monthly subscription revenue for each consecutive month that Sales Representative meets prior month’s sales requirement (up to 20%). This consecutive month sales requirement must continue to be met each month for this retainer to increase each month. This incentive resets to 0% for the following month and forward any time the monthly sales requirement is missed, and the increase begins again from 0% up to 20%. IMPORTANT: Quarterly or Annual subscriptions still count as one deal closed for the purposes of this agreement. If a Quarterly or Annual subscription is sold, the COMMISSION FOR CLOSED DEALS and RETAINER FOR CLOSED DEALS is guaranteed to the Sales Representative for the duration of the period the the subscriber is with Guest Systems, as long as the subscriber does not request or demand a refund during the Quarterly or Annual subscription period. ALSO: It is the responsibility of the Sales Representative to work with Guest Systems Operations and Support to retain the subscriber. Deductions will be made from the Sales Representative’s COMMISSIONS for any subscriber who is lost as a subscriber prior to the end of their minimum subscription period. The same applies if a subscriber requests or demands a refund of their fees prior to the end of their monthly subscription period. Pay the following 1099 commissions for Data Entry Work: $0.40 Per Transaction Other terms to be observed by and between the parties: The Company Agrees to Pay a 1099 Bonus to the Sales Representative each quarter TO BE DETERMINED based on performance of CLOSED DEALS by the Sales Representative that exceed minimum monthly requirement.
